Independent International Business Law Practice

I have been in legal practice with international law firms in Hungary, the US, and Qatar since my graduation.

Counseled on a variety of business law transactions in theHungarian legal market and in a series of cross-border transactions in Europe as well as in the U.S. and the Middle East.

1994-2019

I held various positions with international law firms; most recently I was partner in the Budapest and Doha offices of global law firm, Squire Patton Boggs for 12 years. Throughout my carrier I have worked in fast-paced environment and constantly met international standards.

SINCE 2019

I established my independent law practice in February 2019 and focus on corporate and commercial law servicing international clients in connection with their businesses in Hungary.

Pandemic presents extraordinary challenge to individuals and businesses. Safe working conditions are priority these days. My practice is fully equipped to provide legal services from the distance as well as on site as regulations in force permit.

My more than a quarter of century long experience in a variety of business transactions positions me to counsel in deals across industries and practices. I possess unparalleled competence in M&A, real estate as well as financing and capital market transactions.

COMMERCIAL CONTRACTS

I frequently counsel in complex commercial arrangements, including IT and IP.

ADVISORY

I advise on regulatory matters, among others in financial services, communications, energy and basics of taxation.

CORPORATE

Company formation and changes in corporate data all belong to my daily routine activity.

I efficiently manage corporate matters of operational entities with significant assets as well special purpose vehicles utilized across business transactions.

Regularly handle intra-group and extra-group mergers, demergers, transformations from one company form to another.

Counselled to various multinational industrial clients (including subsidiaries of globally operating blue-chip corporations) in connection with establishing their manufacturing facilities (in both green-field and brown-field environment); negotiated and drafted land purchase agreements and long-term land usage agreements.

Represented professional real estate and private equity funds and other sophisticated financial investors in a number of investment deals (share and asset deals) across segments of the industry (office, retail, logistics and industrial); negotiated and drafted letters of intent, advised on structuring issues and counselled in related corporate work (e.g. entity structuring), pursued legal due diligence investigations, lead and coordinated due diligence teams reviewing the project properties and/or the property-owning SPVs and lease portfolio; negotiated and drafted share purchase agreements and straightforward property purchase and option agreements; negotiated loan agreements on real estate finance and the related collateral agreements; assisted with closing of real estate acquisitions (share and asset deals).

Drafted and negotiated engineering and project management agreements and construction agreements (in compliance with various FIDIC models); also drafted, negotiated, and advised on agreements with facility and property managers; advised on arrangements in connection with mandatory and voluntary escrow and payment trustee arrangements.

Advised on environmental issues, negotiated, and drafted environmentally relevant indemnity provisions on behalf of purchasers and owners (sellers) of lands; also counseled in environmental remediation projects, advised on necessary contractual framework; negotiated and drafted related agreements.
